Terms of Service

The agreement between you and Nervebase when you use the service. Please read these terms carefully — by using Nervebase, you accept them.

Acceptance of these terms

These Terms of Service ("Terms") form a binding agreement between you (or the organisation you represent) and Saket Sanganeria, an individual proprietor based in Mumbai, India, doing business as "Nervebase" ("Nervebase", "we", "us", "our"). They govern your access to and use of the Nervebase service available at nervebase.ai and any related applications, integrations, and APIs (together, the "Service").

By creating an account, connecting a data source, or otherwise using the Service, you confirm that you have read these Terms, accept them, and have the authority to bind the organisation on whose behalf you are acting. If you do not accept these Terms, do not use the Service.

Definitions

In these Terms, the following capitalised words have the meanings given below:

Your account

To use the Service you must create an account using accurate information and keep that information current. You are responsible for safeguarding your account credentials and for all activity that occurs under your account, whether or not you authorised it. You must notify us promptly at info@nervebase.ai if you become aware of any unauthorised access.

You must be at least 18 years old and capable of entering into a binding contract. The Service is intended for use by businesses and professionals; it is not intended for personal or consumer use.

The service

Nervebase provides a documentary intelligence platform that captures financial PDFs from your Connected Accounts, backs them up to your own Google Drive, extracts structured data from those documents using AI, and makes the documents and extracted data searchable through the Service interface.

The Service is provided on a software-as-a-service basis. We are continuously improving the Service and may add, change, or remove features over time. Material changes that adversely affect existing functionality will be notified in advance where practicable.

Pre-release notice. Nervebase is in active development. Some features may be marked as "beta", "preview", or "early access". Such features are provided as-is for evaluation, may change or be withdrawn without notice, and may not be subject to the same availability or accuracy commitments as generally available features.

Fees and payment

Access to the Service may be free, paid, or a combination of both, as set out on our pricing page or in a separate written order between you and Nervebase. Where fees apply:

We may change our fees from time to time. Changes will not take effect for an existing paid Subscription until the start of the next renewal term, and we will give you at least 30 days' notice before any such change.

You agree not to, and not to permit any Authorised User or third party to:

We may investigate suspected violations and take appropriate action, including suspending or terminating accounts as set out in Section 12.

Your data and our role

Ownership

As between you and Nervebase, you retain all right, title, and interest in and to your Customer Data. We claim no ownership over Customer Data and acquire no rights in it other than the limited rights necessary to provide the Service to you.

Licence to us

You grant Nervebase a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process, display, and otherwise use Customer Data solely as necessary to provide and improve the Service to you, to enforce these Terms, and to comply with applicable law. This licence ends when the relevant Customer Data is deleted from our systems.

Privacy and data protection

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. To the extent we process personal data on your behalf as a data processor, we will do so in accordance with your reasonable instructions and applicable law (including the Digital Personal Data Protection Act, 2023).

Customer-controlled storage

The canonical copies of PDFs captured by the Service are written to your own Google Drive account. You retain ownership and control of those files. Nervebase does not claim any rights in the files stored in your Drive, and you may revoke our access to your Drive at any time as described in the Privacy Policy.

Backups and deletion

You may export your extracted data and account information at any time during your Subscription. On termination, you may export data within 30 days, after which we will delete or anonymise it in line with our retention policy, except where retention is required by law or for legitimate business purposes (such as the maintenance of audit logs, with personal identifiers redacted).

Third-party services

The Service integrates with third-party services that you choose to connect (including Google services such as Gmail and Google Drive). Your use of those third-party services is governed by their own terms and privacy policies, and we are not responsible for their availability, accuracy, or security. You are responsible for ensuring that your use of the Service in connection with a third-party service complies with that service's terms.

We may also use third-party subprocessors to operate the Service, as listed in our Privacy Policy.

Intellectual property

The Service, including all software, designs, text, graphics, and other materials made available by Nervebase (excluding Customer Data), is owned by Nervebase or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the term of your Subscription, solely in accordance with these Terms.

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose without obligation to you.

Confidentiality

Each party may receive confidential information from the other in connection with the Service. The receiving party will use the same degree of care it uses to protect its own confidential information of like kind (and in no event less than reasonable care), will use confidential information only to exercise its rights and perform its obligations under these Terms, and will not disclose confidential information except to its employees, advisers, and contractors who are bound by confidentiality obligations and need to know it for those purposes.

This section does not apply to information that is or becomes public through no fault of the receiving party, was lawfully known before receipt, is independently developed without use of the disclosing party's confidential information, or is required to be disclosed by law (with notice to the disclosing party where legally permitted).

Availability and support

We aim to make the Service available continuously, but we do not guarantee uninterrupted availability. The Service may be unavailable from time to time due to scheduled maintenance, emergency maintenance, or factors outside our reasonable control (including third-party service outages, network failures, and force majeure events).

Support is provided by email at info@nervebase.ai during ordinary business hours in India (Indian Standard Time). We will use commercially reasonable efforts to respond promptly. Specific service level commitments, where offered, will be set out in a separate written order.

Suspension and termination

Termination by you

You may terminate your account at any time through the Service interface or by emailing info@nervebase.ai. Termination takes effect at the end of your then-current paid term unless we agree otherwise. No refunds are provided for partial periods.

Termination or suspension by us

We may suspend or terminate your access to the Service, in whole or in part, if:

  1. You materially breach these Terms and (for breaches capable of cure) do not cure the breach within 14 days of notice;
  2. Your use of the Service poses a security risk to the Service, to us, or to other customers;
  3. You fail to pay fees when due and do not cure within 14 days of notice; or
  4. We are required to do so by law or by a regulator.

Effect of termination

On termination, your right to access the Service ceases. The provisions of these Terms that by their nature are intended to survive termination (including those relating to ownership, confidentiality, disclaimers, limitation of liability, indemnity, and governing law) will survive.

Warranties and disclaimers

We warrant that we will provide the Service with reasonable care and skill and in accordance with applicable law.

Important. Except for the warranty in the preceding sentence and any warranties that cannot be excluded or limited under applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will be uninterrupted or error-free.

AI extraction is probabilistic. Although we work continuously to improve accuracy, extracted data may contain errors. You are responsible for reviewing and verifying extracted data before relying on it for any decision, particularly any tax filing, legal filing, payment authorisation, or other decision with financial or legal consequences.

Limitation of liability

To the maximum extent permitted by applicable law:

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud, gross negligence, or wilful misconduct.

Indemnity

You will defend, indemnify, and hold harmless Nervebase from and against any third-party claim, loss, or expense (including reasonable legal fees) arising out of or relating to: (a) your Customer Data; (b) your or your Authorised Users' use of the Service in violation of these Terms or applicable law; or (c) your violation of any third party's rights, including intellectual property or privacy rights.

We will defend, indemnify, and hold you harmless from and against any third-party claim alleging that the Service, when used in accordance with these Terms, infringes a third party's intellectual property rights, except to the extent the claim arises from your Customer Data, your modification of the Service, or your combination of the Service with anything not provided by us.

Changes to the service or these terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects when the current version became effective. For changes that materially adversely affect your rights, we will give at least 30 days' notice by email to your registered contact address or by an in-product notice. Continued use of the Service after the changes take effect constitutes acceptance. If you do not accept the changes, your remedy is to terminate your account before the changes take effect.

Governing law and disputes

These Terms are governed by the laws of India. The parties submit to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India for the resolution of any dispute arising out of or relating to these Terms or the Service, except that either party may seek interim or injunctive relief in any court of competent jurisdiction.

Before initiating any formal proceeding, the parties will attempt in good faith to resolve any dispute through discussion between authorised representatives, escalating to senior decision-makers if necessary, for at least 30 days from the date one party gives the other written notice of the dispute.

General

Entire agreement

These Terms, together with the Privacy Policy and any written order or addendum signed by both parties, form the entire agreement between you and Nervebase relating to the Service and supersede all prior or contemporaneous agreements on the same subject matter.

No waiver

A failure or delay by a party in exercising a right under these Terms is not a waiver of that right. Any waiver must be in writing to be effective.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remainder will continue in full force, and the invalid provision will be replaced by an enforceable provision that most closely reflects the original intent.

Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of our business or assets, with notice to you.

Force majeure

Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, governmental action, internet or telecommunications failures, or third-party service outages.

Notices

Notices to Nervebase must be sent to info@nervebase.ai with a copy by post to the address in Section 19. Notices to you will be sent to your registered email address or delivered through the Service.

Independent contractors

The parties are independent contractors. These Terms do not create a partnership, agency, joint venture, or employment relationship.
